Proposed Bylaws Revisions – Summary for Membership


The IHOA Board of Directors has approved and is recommending a series of updates to
the Association’s Constitution and Bylaws. These proposed revisions will be presented
for a vote of the membership at the Annual Meeting on May 11.


The goal of these updates is to improve clarity, make roles, responsibilities, and
decision-making processes clearer and more consistent, and better reflect how the
Association currently operates.


In general, the proposed changes are intended to:


• Clarify membership definitions and what it means to be in good standing
• Simplify and formalize Board structure and procedures
• Improve financial oversight and accountability
• Establish clear policies for conflicts of interest and leadership protections
• Create consistent and transparent processes for member discipline and reinstatement
• Allow greater flexibility in managing committees and operational procedures


These updates are largely focused on improving organization and transparency. They
do not change the fundamental rights of members, including voting rights or the
requirement that bylaws changes must be approved by the membership.

of changes prior to the Annual Meeting.
